Terms of Service

1. Agreement

These terms govern access to and use of CiiVSOFT Foundry ("the Service"), provided by CiiVSOFT Limited, a company registered in England and Wales under company number 09061018, whose registered office is at HLB House, 68 High Street, Tarporley, Cheshire, CW6 0AT ("CiiVSOFT", "we", "us"). By creating an account or using the Service you agree to these terms on behalf of the business you represent ("the Customer"). The Service is offered to businesses only and is not intended for consumers.

These terms apply to CiiVSOFT Foundry only. Separate terms govern CiiVSOFT Select and our candidate screening products, available at ciivsoft.com/terms.

2. The Service

Foundry is a job asset creation and optimisation platform. It generates and audits job documentation (such as job specifications, adverts, screening questions and interview materials) from employer and job information the Customer provides or imports. The Service processes no candidate or applicant data and makes no decisions about individuals.

4. Free trial

The free trial provides access to the full Service for 7 days or 5 jobs at organisation level, whichever is reached first. No payment details are required to start a trial. At the end of the trial, access to the Service is suspended until a package is purchased. One trial per organisation; trials cannot be restarted once expired.

5. Packages, billing and top-ups

Billing cyclePackages are billed monthly or annually in advance via our payment provider, Stripe. Annual packages are charged up front at the discounted annual rate.
Job allowanceEach Seat includes a monthly job allowance (10 jobs on Starter, 25 on Growth). The allowance is calculated at organisation level: total Seats multiplied by the per-Seat allowance. Unused monthly allowance does not roll over to the following period.
Counting a jobA job is counted once on creation of a job record, regardless of how many times assets are generated, regenerated or improved for that job.
Top-upsTop-up bundles (10 jobs for £20 on Starter; 20 jobs for £30 on Growth) supplement the monthly allowance. Top-up jobs accumulate and are drawn upon after the monthly allowance is exhausted. They are not subject to monthly expiry but will lapse on cancellation or expiry of your subscription.
VATAll prices exclude VAT, which is charged where applicable.
Price changesWe may change prices with at least 90 days' written notice; changes take effect at your next renewal.

6. Cancellation

Monthly packages can be cancelled at any time via the billing portal and run to the end of the paid period. Annual packages run to the end of the paid year. Except where required by law, fees are non-refundable.

8. AI-generated content

The Service uses large language models, accessed via Amazon Bedrock within our AWS infrastructure, to generate and audit job content. Generated content is a starting point for human review, not professional advice. The Customer is responsible for reviewing all generated assets before use, including for accuracy, legal compliance and suitability. Audit scores — including bias risk assessments aligned to the Equality Act 2010 — are assistive indicators and do not constitute legal advice or guarantee compliance with employment or equality law.

9. Acceptable use

You must not: use the Service to create discriminatory, misleading or unlawful job content; attempt to access other customers' data; probe, disrupt or overload the Service; attempt to circumvent job allowances or trial limits by creating multiple accounts; resell the Service without our written agreement; or use the Service to build a competing product.

10. Availability and support

We aim to keep the Service available at all times but do not guarantee uninterrupted operation. Support is provided by email during UK business hours; see the contact page for response expectations. We may perform maintenance with reasonable notice where practical.

11. Intellectual property

The Service, its software, design and branding remain the property of CiiVSOFT Limited or its licensors. These terms grant no rights in them beyond use of the Service as intended.

12. Liability

Nothing in these terms excludes liability that cannot be excluded by law, including liability for death or personal injury caused by negligence or for fraud. Subject to that: the Service is provided on a reasonable endeavours basis; we exclude implied warranties to the fullest extent permitted by law; we are not liable for indirect or consequential loss, loss of profits, or loss of data; and our total aggregate liability in any 12-month period is limited to the fees paid by the Customer in that period, or £5,000, whichever is greater.

13. Data protection

Each party will comply with applicable data protection law. Our privacy policy describes how we handle personal data. Where we process personal data on the Customer's behalf, a data processing addendum is available on request by contacting privacy@ciivsoft.com.

14. Termination

We may suspend or terminate accounts for material breach of these terms, non-payment (where not remedied within 14 days of notice), or unlawful use. On termination, the Customer retains read-only access to its content for 30 days, during which it may request an export. After 30 days we may delete Customer content.

15. Changes to these terms

We may update these terms from time to time. Material changes will be notified to account holders by email at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms.

16. Governing law

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from or in connection with them.
